Not Investment, Legal, or Tax Advice
The information on this website is for informational and educational purposes only and should not be construed as personalized investment, legal, or tax advice. Investment advisory services are provided only pursuant to a written Investment Advisory Contract and after TNWM has obtained sufficient information to determine that the advice and services are appropriate in light of each client’s individual circumstances.
Nothing on this website constitutes an offer to sell or a solicitation of an offer to buy any security or other financial instrument in any jurisdiction where such offer, solicitation, or purchase would be unlawful or where TNWM is not properly registered or exempt from registration.
Advisory Services and Limits
TNWM provides ongoing portfolio management services based on an individual client’s goals, objectives, time horizon, and risk tolerance, typically documented in an Investment Policy Statement. TNWM also offers financial planning services and periodically provides educational seminars and
workshops.
TNWM generally limits its investment advice to mutual funds, exchange-traded funds (ETFs), equities, fixed income securities, real estate funds including REITs, insurance products including annuities, commodities, venture capital funds, private placements, and treasury inflation-protected or inflation-linked bonds, though other securities may be used when appropriate. Not all services or investment types discussed on this website are available to every client, and nothing on this site should be interpreted as a guarantee that any particular strategy or investment will be used or will be suitable for you.
Clients and prospective clients should review TNWM’s Form ADV Part 2A Firm Brochure and 2B Brochure Supplement for a full description of services, fees, and important conflicts and risks.
Fees and Compensation
TNWM typically charges asset-based fees for portfolio management services, calculated as a percentage of assets under management and billed monthly in arrears from client accounts with written authorization. Financial planning is generally offered on an hourly fee basis, also payable in arrears.
Clients remain responsible for third-party fees and expenses, including but not limited to custodian fees, brokerage commissions, mutual fund and ETF internal expenses, transaction fees, and other charges imposed by third parties, which are separate and in addition to TNWM’s advisory fees. TNWM does not receive performance-based fees and does not receive compensation for the sale of securities or other investment products, including asset-based sales charges or mutual fund service fees. Fee schedules, billing practices, and any negotiable terms are described in detail in TNWM’s Form ADV Part 2A and in the applicable advisory agreement.
Use of Altruist and Other Third Parties
TNWM requires clients to use Altruist Financial LLC as the custodial platform for brokerage, custody, clearing, and execution services. TNWM maintains an institutional relationship with Altruist that provides a fully digital account opening process, a variety of available investments, and integration with software tools, but Altruist does not supervise TNWM or its advisory activities.
TNWM may participate in Altruist LLC’s Model Marketplace and may use Altruist’s tax management tools and the Altruist One Program for select client accounts. Fees associated with these services may be charged to TNWM or passed through to clients, as described in the applicable Altruist fee schedules and agreements. Altruist LLC and its affiliates do not act as investment advisers or fiduciaries to TNWM’s clients; TNWM remains responsible for suitability and investment decisions in client accounts.
Conflicts of Interest and Affiliations
TNWM and its supervised persons are not registered as a broker-dealer, are not representatives of a broker-dealer, and are not registered as a futures commission merchant, commodity pool operator, or commodity trading advisor. TNWM does not accept compensation from third parties in exchange for client referrals and does not pay third parties for client referrals.
Mark Thomas Diehl Jr serves as President of Diehl CPA LLC and may, from time to time, offer clients accounting and tax services through that separate business. This arrangement creates a potential conflict of interest because Mr. Diehl has an incentive to recommend those services; however, TNWM always seeks to act in the best interest of clients, and clients are not required to use Diehl CPA LLC or any affiliate.
From time to time, representatives of TNWM may buy or sell for their own accounts the same securities they recommend to clients, which can create potential conflicts of interest. TNWM’s Code of Ethics and compliance procedures are designed to mitigate these conflicts, and TNWM will not engage in trading that operates to the client’s disadvantage.
Risks and No Guarantee of Results
Investing in securities involves risk of loss, including the possible loss of principal, and clients should be prepared to bear such loss. Different investment strategies and securities involve varying degrees of risk, and there can be no assurance that any specific investment, strategy, or model will be profitable or will not result in a loss.
Past performance is not indicative of future results. Market conditions, economic developments, interest rates, inflation, political and regulatory events, and other factors may materially affect investment performance and may differ from conditions and outcomes discussed or illustrated on this
website.
Any references on this website to particular investment strategies, sectors, securities, or model portfolios are illustrative and do not constitute a recommendation, offer, or solicitation to buy or sell any security or to implement any specific strategy.
Fiduciary Status for Retirement Advice
When TNWM provides investment advice regarding retirement plan accounts or individual retirement accounts, TNWM acts as a fiduciary under applicable provisions of ERISA and the Internal Revenue Code. TNWM’s fiduciary obligation includes a duty to act in the client’s best interest, charge no more than reasonable compensation, avoid misleading statements, and follow policies and procedures designed to ensure that advice is prudent and loyal.
However, fiduciary status applies only to the extent TNWM provides investment advice about retirement accounts, and not to other interactions or services that may be non-fiduciary in nature.
Custody and Account Statements
Because TNWM’s advisory fees are typically deducted directly from client accounts held with the custodian, TNWM is deemed to have limited custody of client assets and must obtain written authorization from clients to deduct fees. Clients receive account statements at least quarterly directly from the custodian, and TNWM urges clients to carefully review those statements and compare them to any reports received from TNWM.
TNWM does not maintain physical custody of client funds or securities, which remain held by the qualified custodian.
Privacy and Information Security
TNWM collects nonpublic personal information about clients that is provided by clients or obtained with their authorization, including but not limited to Social Security numbers, dates of birth, banking information, financial account numbers and balances, sources of income, and credit card information. TNWM uses this information to provide advisory and related services, process transactions, and comply with legal and regulatory obligations.
TNWM may share personal information with affiliates and non-affiliated third parties as permitted by law and as needed for everyday business purposes, such as processing transactions, maintaining accounts, responding to court orders and legal investigations, or reporting to credit bureaus, and for certain marketing and joint marketing activities, subject to applicable opt-out rights. TNWM uses security measures that comply with federal law, including computer safeguards and secured files and facilities, to protect client information from unauthorized access and use.
Clients may contact TNWM at any time to request a copy of the firm’s full Privacy Policy and to exercise their right to limit certain types of information sharing as permitted by federal and state law.
No Warranties; Website Content
All website content is provided “as is” and “as available,” without warranty of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. TNWM does not warrant that the information on this website is free from errors or omissions or that it will be updated promptly, although TNWM seeks to keep information current and accurate as of the stated version dates in its regulatory filings.
Any charts, graphs, or illustrations on this site are for informational purposes only and should not be used by themselves to make investment decisions. They may not reflect the impact that material economic and market factors could have on an actual client’s decision-making or investment results.
